Accredited Investor Qualifications
Based on restrictions from the SEC (Securities and Exchange Commission) rule 506c, only accredited investors can invest with Hezekiah.
You can apply for verification through our website, using a third-party service; “Verify Investor.” This is a secure process we provide as a complimentary service to all Hezekiah investors.

How to Determine If You Are an Accredited Investor
To qualify as an accredited investor, you must meet one of the following five requirements.

To qualify as an accredited investor, individuals must meet one of the following criteria:

2. Earned $200,000 or more in gross income annually for the past two years and expect to continue to do so.

3. Have a combined gross income with a spouse totaling $300,000 or more annually for the past two years.

4. Maintain a net worth of $1 million or more, excluding the value of their primary residence.

5. Be part of an entity with at least $5 million in assets, or a business where all equity owners are accredited investors.

6. Hold General Securities Representative (Series 7), Private Securities Offerings Representative (Series 82), or Licensed Investment Adviser Representative (Series 65) registration in good standing.
How Do I Prove That I Am an Accredited Investor?
Before you start the application, please make sure you have proof of income and/or assets available.
Investing as individuals and retirement accounts

To verify income for the past two years, you'll need official tax documents like US tax returns, W-2s, K-1s, 1099s, or other government records.

If you're proving assets, ensure your net worth exceeds $1,000,000, excluding your primary residence. You can provide documentation such as property deeds, bank statements, letters from financial institutions, or vehicle titles demonstrating ownership. Additionally, submit a copy of your credit report (not older than 90 days) for third-party liability evidence. You can obtain a free credit report from any credit reporting bureau via annualcreditreport.com.

You can obtain a verification letter, dated within the last 90 days, from a third-party licensed attorney, CPA, SEC-registered investment advisor, or registered broker-dealer certifying your accredited status.
Investing as an entity or trust

For an entity or trust with assets exceeding $5,000,000, proof of accreditation might involve providing a bank statement, a formal valuation conducted by a valuation professional, or an appraisal of any real estate held by the entity.

If the entity or trust doesn't meet the asset threshold, it can still qualify as an accredited investor if all of its equity owners meet the accreditation criteria. In this case, each owner must provide one of the following:

Proof of income for the past two years supported by official tax records such as US tax returns, W-2, K-1, 1099, or other government documents.

Documentation of assets demonstrating a net worth of at least $1,000,000, excluding the primary residence. This documentation could include a property deed, bank statements, a letter from a financial institution, or a vehicle title showing ownership.

A verification letter, dated within the last 90 days, from a third-party licensed attorney, a CPA, an SEC-registered investment advisor, or a registered broker-dealer, certifying the individual's accredited status.

License holders

To verify accreditation through Series 7 or Series 82, the reviewing attorney must confirm that the investor is currently employed by a FINRA-member or SRO firm, or within two years since leaving such employment without subsequent employment in a similar firm. For Series 65, the investor must be registered with a state and be in good standing. To utilize this verification method, provide your name as listed on your license, your individual CRD#, and for Series 7 and 82 only, the name of the firm through which you are licensed.
Accredited Verification Validation
It's important to note that an accredited investor verification remains valid for up to 90 days. To avoid the need for reapplication, ensure that your first investment and wire transfer are completed within this timeframe. Once your initial investment is made, your verification status remains valid with Hezekiah.
